Prince of Peace Reseller Policy

Dear Reseller,
At Prince of Peace Enterprises, Inc., we are committed to you—the reseller partners that help our company
satisfy customer needs and deliver excellent brands from around the world. To protect our brand and the
integrity of our authorized distribution channels, Prince of Peace is announcing and implementing an
Authorized Reseller Program for our Prince of Peace branded products (the “Products”), effective
December 1, 2021.
Among other benefits, our Authorized Reseller Program will ensure that all sellers of Products understand
and take the steps necessary to ensure product quality and provide the excellent customer service that is
integral to the reputation of our brand. In addition, our Authorized Reseller Program will assist us in
identifying and taking action against unauthorized sellers that are harming you and consumers through the
sale of damaged and diverted products.
Your obligations under our new Authorized Reseller Program are outlined in the Prince of Peace
Enterprises, Inc. Authorized Reseller Policy, which is attached for your review.
Key Features of the Authorized Reseller Policy:
 Where and to Whom You May Sell the Products: Prince of Peace is committed to maintaining
the integrity of its authorized distribution channels and to stopping the diversion of Products to
unauthorized sellers. To this end, the Authorized Reseller Policy requires that you sell Products
solely to end user consumers and not to persons or entities who intend to resell the Products. In
addition, you may not market for sale or ship Products outside of the United States without our
prior written consent.
 Online Sales: The Authorized Reseller Policy prohibits you from selling the Products online
without Prince of Peace’s prior written consent, including as a third-party seller on marketplace
websites such as Amazon, eBay, Target+, Walmart Marketplace, and Google Shopping. This
prohibition will be strictly enforced. If you wish to apply for permission to sell online, please
contact us at authorization@popus.com for more information.
 Ensuring Product Quality and Satisfaction: To ensure that the consumers who purchase the
Products have the best experience possible, the Authorized Reseller Policy outlines our
expectations for the service you will provide to your customers. The Authorized Reseller Policy
also describes certain steps you must take to maintain the quality of the Products until they reach
consumers.

PRINCE OF PEACE ENTERPRISES, INC. AUTHORIZED RESELLER POLICY
Effective Date: December 1, 2021
This Prince of Peace Enterprises, Inc. Authorized Reseller Policy (“Reseller Policy”) is issued by Prince of
Peace Enterprises, Inc. (“POPUS”) and applies to Authorized Resellers of Prince of Peace brand of products
(“Product(s)”) in the United States of America. By purchasing Products from Authorized Distributor of the
Products for retail sale, you (“Reseller”) agree to adhere to the following terms. Until such status is
otherwise revoked by POPUS in POPUS’ sole and absolute discretion, Reseller shall be considered an
“Authorized Reseller.” POPUS may review Reseller’s activities for compliance with this Reseller Policy,
and Reseller agrees to cooperate with any such investigation, including, but not limited to, permitting
inspection of Reseller’s facilities and records related to the sale of the Products.
1. Authorized Customers. Reseller is authorized to sell Products only to End Users. An “End User”
is a purchaser of the Products who is the ultimate consumer of the Products and who does not intend to
resell the Products to any third party. Reseller shall not sell or transfer Products to any person or entity
Reseller knows or has reason to know intends to resell the Products. Reseller shall not sell or transfer a
quantity of the Products to any individual greater than that typically purchased for personal use. Reseller
shall not sell, ship, or promote the Products outside the United States of America without POPUS’ prior
written consent.
2. Online Sales. Reseller shall not offer for sale or sell Products on or through any website,
online marketplace (including, but not limited to, Amazon, eBay, Target+, Walmart Marketplace,
and Google Shopping), mobile application, or other online forum without the prior written consent
of POPUS. The terms of this Reseller Policy supersede any prior agreement between POPUS and Reseller
regarding the sale of the Products on or through websites, mobile applications, and other online forums.
Any authorization previously granted to Reseller by POPUS to sell the Products on or through a website,
mobile application, or other online forum is revoked.
3. Sales Practices. Reseller shall conduct its business in a reasonable and ethical manner at all times
and shall not engage in any deceptive, misleading, or unethical practices or advertising at any time. Reseller
shall not make any warranties or representations concerning the Products except as expressly authorized by
POPUS. Reseller shall comply with all applicable laws, rules, regulations, and policies (a) applicable to
Reseller’s business and/or (b) related to the marketing and sale of the Products. Reseller shall represent the
Products in a professional manner and refrain from any conduct that is or could be detrimental to the
reputation of POPUS or the Products. Reseller shall not advertise Products not carried in inventory.
Reseller shall only purchase Products from POPUS or POPUS’ Authorized Distributors of the Products.
4. Product Care, Customer Service, and Other Quality Controls. Reseller shall comply with the
Prince of Peace Enterprises, Inc. Product Care, Customer Service, and Other Quality Controls attached as
Exhibit A, as POPUS may amend from time to time.
5. Intellectual Property.

(a) Reseller acknowledges and agrees that POPUS or its licensors own all proprietary rights in
and to the Prince of Peace brand, name, logos, trademarks, service marks, trade dress, copyrights, and other
intellectual property related to the Products (the “POPUS IP”). Reseller is granted a limited,
non-exclusive, non-transferable, revocable license to use the POPUS IP solely for purposes of marketing
and selling the Products as set forth herein. This license will cease upon termination of Reseller’s status as
an Authorized Reseller. All goodwill arising from Reseller’s use of the POPUS IP shall inure solely to the
benefit of POPUS.
(b) Reseller’s use of the POPUS IP shall be in accordance with any guidelines that may be
provided by POPUS from time to time and must be commercially reasonable as to the size, placement, and
other manners of use. POPUS reserves the right to review and approve, in its sole discretion, Reseller’s
use or intended use of the POPUS IP at any time, without limitation. In marketing the Products, Reseller
shall only use images of Products either supplied by or authorized by POPUS and shall ensure that all
Product images and descriptions are accurate and up to date.
(c) Reseller shall not create, register, or use any domain name, social media screenname, or
mobile application name that contains any Product name or trademark, nor a misspelling or confusingly
similar variation of any Product name or trademark.
6. Termination. POPUS reserves the right to terminate Reseller’s status as an Authorized Reseller
with written or electronic notice. Upon termination of a Reseller’s status as an Authorized Reseller, Reseller
shall immediately cease (i) selling the Products; (ii) acting in any manner that may reasonably give the
impression that Reseller is an Authorized Reseller of the Products or has any affiliation whatsoever with
POPUS with respect to the Products; and (iii) using all POPUS IP.
7. Modification. POPUS reserves the right to update, amend, or modify this Reseller Policy at any
time. Unless otherwise provided, such amendments will take effect immediately, and Reseller’s continued
use, advertising, offering for sale, or sale of the Products, use of the POPUS IP, or use of any other
information or materials provided by POPUS to Reseller will be deemed Reseller’s acceptance of the
amendments.
8. Confidentiality. This Reseller Policy, and its attachments, if any, constitute confidential,
proprietary information of POPUS and shall not be used for any purpose other than the authorized
advertising and sale of the Products nor disclosed to any third party without the prior written consent of
POPUS.

CARE, CUSTOMER SERVICE, AND OTHER QUALITY CONTROLS
1. Comply with all instructions provided by POPUS regarding the storage, handling, shipping,
disposal, or other aspect of the Products, including instructions provided on Product labels. Store Products
in a cool, dry, sanitary place with an effective pest control program in place, away from direct sunlight.
2. Sell Products in their original packaging. Relabeling, repackaging (including the separation of
bundled Products or the bundling of Products), and other alterations to Products or their packaging, tags,
and/or associated literature are not permitted without the prior written consent of POPUS.
3. Do not remove, translate, or modify the contents of any label or literature on or accompanying the
Products. Do not tamper with, deface, or otherwise alter any serial number, UPC code, batch or lot code,
or other identifying information on Products or their packaging.
4. Do not resell any Product that has been returned opened or repackaged.
5. Promptly upon receipt of the Products, inspect the Products and their packaging for damage, defect,
broken seals, leaks, presence of foreign matter in the Products, evidence of tampering, or other
nonconformance (a “Defect”). If any Defect is identified, do not offer the Product for sale and promptly
report the Defect to POPUS at contact@popus.com.
6. Inspect inventory regularly for expired or soon-to-be expired Products and do not sell any Products
that are expired or within thirty (30) days of expiration. Destroy or dispose of expired or soon-to-be expired
Products in accordance with instructions provided by POPUS and applicable law.
7. Be familiar with the special features of all Products marketed for sale and obtain sufficient Product
knowledge to advise customers on the selection and safe use of the Products, as well as any applicable
guarantee or return policy. Be available to respond to customer questions and concerns both before and
after sale of the Products and respond to customer inquiries promptly.
8. Cooperate with POPUS with respect to any Product tracking systems that may be implemented
from time to time.
9. Cooperate with POPUS with respect to any Product recall or other consumer safety information
dissemination efforts.
10. Report to POPUS any customer complaint or adverse claim regarding the Products and assist
POPUS in investigating any such complaints or adverse claims.
11. Cooperate with POPUS in the investigation and resolution of any quality or customer service issues
related to the sale of the Products, including disclosing information regarding Product sources, shipment,
and handling.

AUTHORIZED RESELLER PROGRAM FREQUENTLY ASKED QUESTIONS
FOR RESELLERS
Q1. What is the Authorized Reseller Program and why is Prince of Peace implementing it?
A1. The Authorized Reseller Program is designed to protect the long-term integrity of the Prince of
Peace brand and to support our relationships with our valued distribution channel partners, both in brickand-
mortar and online. The Program also aims to ensure that consumers receive the high-quality products
and customer service they have come to expect from the Prince of Peace brand.
Q2. How will the Authorized Reseller Program benefit me?
A2. The Authorized Reseller Program will assist Prince of Peace in identifying and taking action against
unauthorized sellers who harm channel partners, like you, and consumers by selling damaged, expired, or
poor-quality products. The Program is critical to positioning the Prince of Peace brand for long-term
success in today’s evolving, increasingly e-commerce driven retail environment.
Q3. What is covered by the Authorized Reseller Program policies?
A3. The Authorized Reseller Program policies describe the rules regarding where and to whom Prince
of Peace brand products may be sold. The policies also explain our expectations for distribution channel
partners related to product quality and customer service. These requirements are designed to ensure that
consumers receive the quality and service that they have come to expect from the Prince of Peace brand.
Q4. Do I have to sign the Authorized Reseller Policy?
A4. No. You are not required to sign the Policy. The Policy is an announcement by Prince of Peace of
the terms and conditions upon which it will do business with channel partners. By continuing to purchase
and resell Prince of Peace brand products, you agree to adhere to the Policy.
Q5. Am I permitted to sell online? How do I become approved to sell online?
A5. Authorized Resellers may not sell Prince of Peace brand products online without the prior written
approval of Prince of Peace. Authorized Resellers that are interested in selling Prince of Peace brand
products online should contact authorization@popus.com for more information.
Please note that as part of the company’s e-commerce strategy, Prince of Peace has elected to strictly limit
the sale of Prince of Peace brand products on online marketplaces like Amazon and eBay. The company is
not currently considering requests for authorization to sell on online marketplaces. Resellers are welcome
to seek approval to sell Prince of Peace brand products on their own proprietary websites.

Q6. I operate a storefront on Amazon / eBay / Target+ / Walmart Marketplace and have been
selling Prince of Peace brand products there. Will I be grandfathered / permitted to continue selling
there?
A6. The Authorized Reseller Policy prohibits sales online, including on online marketplaces, without
the prior written consent of Prince of Peace. Prince of Peace has also elected to limit the sale of its products
on online marketplaces like Amazon and eBay, and is not currently considering requests for authorization
to sell on online marketplaces.
As of the effective date of the Authorized Reseller Policy, your sales on online marketplaces will not be
permitted. Please alter your purchasing cadence accordingly in light of this change. Please note that you
are welcome to continue selling Prince of Peace brand products in your brick-and-mortar retail locations or
to seek approval to sell on your own proprietary website.
